The AZZ Cares Foundation is a Texas non-profit 501 (c)(3) corporation formed on December 21, 2017.

The Foundation is formed exclusively for charitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the “Code”) and will be operated solely to:

1 Provide assistance to the employees of the Employers (as defined below) and their families who are impacted by an emergency, disaster, or personal hardship, including but not limited to death, medical emergency, financial emergency, physical, or natural disaster,

2 Support and enhance organizations that are exempt from taxation as described in Section 501(c)(3) of the Code and organizations described in Section 170(b)(1)(A)(i)-(vi) of the Code, and

3 Do all things necessary for and incidental to the accomplishment of the purposes and goals of the Foundation.

For purposes of this description, “Employers” shall be defined to include: AZZ Inc. and its subsidiaries.
